獨立經銷商經營條款及協議
Independent Distributor Agreement Terms and Conditions
(一) 本人 []

(二)本人知道及明白，並承諾遵從下列條件及聲明。本人已閱讀，並承諾會嚴格遵守及執行「獨立經銷商營業守則」及其他有關附件內所列出的一切規定和義務。
I acknowledge, understand and agree irrevocably to abide by the terms and conditions in this agreement. I have also read the “Independent Distributor Business Manual” and its annex and now undertake to strictly follow all the rules and regulations stated therein.
(三)本人明白之責任止於供應貨品予各獨立經銷商，及按「獨立經銷商營業守則」及「獨立經銷商獎金計算及發放」之規定，發放獎金。
I understand that the only responsibility of to the Independent Distributor is to supply products according to the “Independent Distributor Business Manual” and to issue awards in accordance with the “Independent Distributor’s Award Calculation Delivering”.
(四)本人明白所有獨立經銷商皆為獨立營業個體。與各獨立經銷商沒有任何直接關係或間接之僱傭、代理、信託或從屬關係。
I understand that all Independent Distributors are independent business entities. does not and will not have any employment, agency, trust, affiliation or other relationship, whether directly or indirectly, with the Independent Distributors.
(五)本人明白各獨立經銷商需要對自身行為負上全責。所有上線獨立經銷商跟下線獨立經銷商之任何事宜，皆與無關。
I understand that Independent Distributors are fully responsible for their own behavior. will not engage or be involved in matters between and among the Independent Distributors.
(六)本人同意保留在任何時候修改、變更或暫停「獨立經銷商營業守則」內之規定，而毋須事先徵得任何人之同意。作為獨立經銷商，本人同意定期查閱本公司之網站，以取得最新進展。本人亦同意無論在任何情況下， 對任何決定所造成的任何直接、間接、偶發或因果之損失，均無任何賠償責任。
I agree that reserves the right to modify, change or suspend any provisions of "Independent Distributor Business Manual" at any time at its discretion, without the need to obtain consent from any person. As an Independent Distributor, I agree to periodically review the ’s website to obtain and review the latest developments and changes. I also agree that under any circumstances, is not responsible for any incidental or causative loss or damages, directly or indirectly, caused by any decision of .
(七)本人明白在一般情況下，願意借出場地予各獨立經銷商進行有關商業活動。惟獨立經銷商在本公司場地內所作出之任何言論或聲明，乃其個人之言論或聲明，並不代表之立場，及與無關。
I understand that under normal circumstances, may provide venues for the Independent Distributors to conduct commercial activities. Any comments or statements made by the Independent Distributors at the ’s premises are their personal remarks or statements. They do not represent the position of and have no connection with .
(八)作為獨立經銷商，本人願意遵從營商活動所在地之法律。
As an Independent Distributor, I shall comply with the law of the countries or regions where business activities are carried out.
(九)本人明白中華人民共和國禁止直銷/傳銷活動。本人於購買之所有產品於國內皆只為自用或送禮，或以零售方式轉售他人。
I understand that the People’s Republic of China (“PRC”) prohibits activities in the form of Pyramid Schemes and multi-level marketing. All purchases from in Hong Kong are only for personal use, or for gifts, or for retail in the PRC.
(十)本人明白在中華人民共和國內並沒有任何業務。任何人不得挪用或其附屬公司之名義進行任何商業活動。
I understand that does not have any business in the PRC. Embezzlement or misappropriation of the names or identities of , or its subsidiaries, for any purpose is strictly prohibited.
(十一)此中文獨立經銷商經營條款及協議為英文版之譯本。如中、英文兩個版本有任何抵觸或不相符之處，應以英交版本為準。
This Chinese version of Agreement is the translation from the English version. If any conflict or inconsistency arises due to translation, the English version shall prevail.
(十二)本人同意 對所有條款有最終解釋權。
I agree that retains the right to interpret all the terms and conditions.
重要提示
歡迎閣下成為("") 之獨立經銷商。 務請閣下詳細閱讀「獨立經銷商營業守則」及特別注意以下事項，並簽署作實同意:
一、閣下應因應閣下的經濟條件而作出適當的資金投放。勸喻閣下不應用借貸方式籌集營運資 金。(獨立經銷商營業規章第一章第5條)
二、獨立經銷商不得鼓勵或游說新加盟之獨立經銷商為任何目的向財務機構借貸。 (獨立經銷商營業規章第一章第25條)
三、獨立經銷商在遵守「獨立經銷商營業規則」的原則及按照當地法律的大前提下可自由發展及 建立自己的銷售網。(獨立經銷商營業規章第一章第6條)
四、獨立經銷商不得以獨立經銷商之名義參與任何有關政府禁止之商業團體或活動或作任何不法行為。(獨立經銷商營業規章第一章第7條)
五、任何獨立經銷商之行為及其營商手法,必須符合和遵守中華人民共和國香港特別行政區之法例及「獨立經銷商營業規則」 。一切有關在香港以外進行之商業活動,務必注意符合和遵守當地法例之規定。(獨立經銷商營業規章第二章第1條)
六、層壓式推銷在香港乃違法行為。詳情請參閱香港特別行政區法例第六一七章《禁止層壓式計劃條例》。(獨立經銷商營業守則第玖章第2條及第7條) 所有以獨立經銷商身份購買之產品均作自用或送禮之用。
七、獨立經銷商計劃,並非層壓式推銷計劃。(獨立經銷商營業守則《相關法例》第1條)
八、中華人民共和國法例不容許層壓式推銷手法及多層式推銷 (Multi Level Marketing) 手法，務請注意。
九、獨立經銷商於收貨後必須詳細檢查貨品。(獨立經銷商營業守則《換貨及退貨辦法》第一章第1條)
十、退貨並不等同換貨, 退貨等同放棄為獨立經銷商。有關退貨事宜請參考「獨立經銷商營業守則」內之「退出辦法」部份。(獨立經銷商營業守則《換貨及退貨辦法》第二章)
十一、本人重申同意之退出辦法(包括購貨發票發出後14天內原購價9折回收，購貨發票發出後60天內原購價7折回收，購貨發票發出後60天以後絕不接受退貨)詳情請參閱「獨立經銷商營業守則」。
十二、由於產品不斷更新，而貨品之供應亦同時取決於原材料及生產商之供應情況，故此絕不會確保閣下於購貨時所屬意之產品，於提貨時仍然供應。在該情況下，閣下必須選取其他等值貨品。本人明白本人不可及不應要求提供已過時及/或已下架及/或已停止供應(因任何理由)之產品。
十三、為免太多貨品囤積及為使各獨立經銷商均可馬上使用產品, 本人明白本人要在以下指定時間自行提貨否則會收取以下所有費用:
- 購貨單發出後六個月內本人必須攜同購貨單到指定之地方打單提貨。若不，會收取每個月未提貨貨品值百分之三作存倉費;
- 提貨單發出後(包括購貨單已作打單提貨的情況)，有關貨品必須即日提貨。否則，會:
- 收取港幣100元正之存倉費(若貨品在提貨單發出後1個月內仍未被提取);或
- 收取港幣500元正之存倉費(若貨品在提貨單發出1 個月後或12個月內仍未被提 取)以及收取港幣500元正之運輸費如獨立經銷商要求在指定之柴灣物流公司 以外的地方提貨;或
- 有絕對權利將在提貨單發出後12個月仍未被提取之貨品自行處理(包括轉售、捐 贈予他人或報銷) 並保留權利向有關獨立經銷商追討上述一切費用。

1. 在加盟成為（“”）「獨立經銷商」前，我應該仔細考慮自己的財政能力。 絕不贊同任何人以借貸購貨形式加盟成為 的「獨立經銷商」。
Before joining ("") as an "independent distributor", I should carefully consider my financial capacity. would not agree any new "independent distributor" in the form of loan purchases.
2. 我明白並不收取任何加盟費，只需累積購貨達HK＄5,000，及每年按時繳交行政費＄210，就可憑個人意願，申請加盟成為「獨立經銷商」。「獨立經銷商」並不是的「會員」，而與各「獨立經銷商」之間亦沒有任何直接或間接的僱傭、代理、信託或從屬關係。
I understand that does not charge any initial fee, I shall be eligible to become an "independent distributor" once I a) have the cumulative purchases of up to HK$5,000, and b) timely pay an annual administrative fee of HK$210. I understand “independent distributor" is not ’s "member" and is not the employee, agent, trustee or associate of , directly or indirectly, whatsoever.

3. 我明白各「獨立經銷商」可以優惠價格購買的貨品，而消費累積滿指定金額即可獲「獎金」回贈。至於優惠和「獎金」的多寡，備有完善的制度計算。
I understand that "independent distributors" may purchase goods of at discounted prices. Awards shall be payable to "independent distributor" once the purchase amount of the "independent distributor" accumulated over a specified amount. has a well-established system for calculation of Awards.
4. 我明白沒有規定「獨立經銷商」必須在指定限期內購買指定金額的貨品，更沒有規定「獨立經銷商」必須介紹其他人士加盟。同時「獨立經銷商」並不會因為引薦其他人士加盟而獲得任何形式的佣金。
I understand that "independent distributor" is not required by in any way to make any specified amount of purchase at any time. "Independent distributors" are not required by in any way to introduce other person to join as "independent distributors". "Independent distributor" will not receive any awards whatsoever as a result of the introduction of new "independent distributors".

5. 我明白設有退貨服務，獨立經銷商可於60天內（退貨條件）申請退貨一次。（詳情請參閱《經銷商營業規則》）
I understand has a return of goods policy in which “independent distributors” may apply for return of goods within 60 days. (For details, please see Independent Distributors’ Operating Regulations)
6. 我明白國內人士有權到港成立公司及註冊成為之獨立經銷商，並以折扣購買之產品作自用或零售用途；我亦明白並不認同國內人士自行組成銷售團隊，以賺取更大之折扣或酬金回報，理由是在國內傳銷活動是法例所禁止的。
I understand that the Mainland Chinese have the right to set up a Hong Kong company and to use such company as an independent distributor of to purchase ’s goods at discounted prices for personal use or retail purposes. I understand “multi-level marketing scheme” is prohibited in the PRC, and does not agree with the establishment of any sales team by independent distributor from the Mainland China for extra discount or remuneration.

7. 我明白如果我利用非法獲取的金錢在香港參與投資或購買貨品，有可能觸犯香港法律而被起訴。
I understand that if I utilize any illegally acquired funds to invest in Hong Kong or to purchase of goods, I may be criminally prosecuted for violating the laws of Hong Kong.
8. 我明白集團就本人提供的資料將予保密，但集團可能會把該等資料提供給香港境內或境外的任何法律、監管、政府、稅務、執法或其他機關，以制裁或預防或偵測非法活動。
I understand that the information I provided herewith will be kept confidential by , but may provide such information, if required, to any law, regulation, government, taxation, law enforcement or other authorities in or outside of Hong Kong to sanction or prevent or identify illegal activities.
